This Terms of Use (“Terms“) governs your access to and use of this website (“Site“), made available to you by “Sandra R. Coulson, Coulson & Associates”, “we,” “us,” or “our”).
BY ACCESSING OR USING THE SITE, YOU (“YOU”) AGREE THAT YOU HAVE READ AND UNDERSTAND THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE WITH THESE TERMS OR OUR PRIVACY POLICY, DO NOT ACCESS OR USE THE SITE.
WE RESERVE THE RIGHT TO MODIFY THESE TERMS AT ANY TIME. ALL CHANGES WILL BE EFFECTIVE IMMEDIATELY UPON POSTING TO THE SITE. BY ACCESSING OR USING THE SITE AFTER CHANGES ARE POSTED, YOU AGREE TO THOSE CHANGES.
Privacy Policy. Coulson & Associates Privacy Policy describes our information collection, use, and sharing practices of Personal Information (defined in the Privacy Policy) that we collect about you and about your use of the Site. By using the Site, you agree to the Privacy Policy, which is part of these Terms.
The Site, including its text, audio, video, graphics, photographs, interfaces, icons, software, computer code, data, Marks, documentation, and other works of authorship, and the design, selection, and arrangement of content, and all intellectual property rights in the foregoing (collectively, the “Content”) are exclusively the property of Coulson & Associates or, as applicable, its vendors or licensors. Except for the rights expressly granted to you in the next section, Coulson & Associates reserves all ownership rights in and to the Site and Content, including all intellectual property rights. Only authorized individuals may modify or post materials on the Site.
Site Use Rights. Coulson & Associates grants to you a limited, non-transferable, non-exclusive, terminable right to use the Site and the Content so long as you comply with these Terms, the Privacy Policy, all other terms posted throughout the Site as applicable to you, and applicable laws.
Intellectual Property Rights. The Site and Content are protected by copyright, trademark, and other intellectual property laws. Any unauthorized use of any intellectual property belonging to Coulson & Associates or any third party is strictly prohibited and may be prosecuted to the fullest extent of the law.
Use of Marks. Coulson & Associates owns certain trademarks, names, logos, insignia, and service marks (“Marks”). You do not have the right to use any Marks except as expressly agreed to in writing by Coulson & Associates. In addition, the Site may contain third-party marks and third-party copyrighted materials, which are the property of their respective owners. Nothing in these Terms grants to you any rights in or to those third-party marks or materials without such third party’s consent.
Copyright Policy. We respect the intellectual property rights of others and we ask that you do the same. It is our policy to terminate repeat infringers’ use of the Site. In accordance with the Digital Millennium Copyright Act (“DMCA”), located at 17 U.S.C. § 512, and other applicable laws, we strive to expeditiously remove any infringing material from the Site if we become aware of the same. If you believe that anything on the Site infringes any copyright that you own or control, please provide our designated agent with a notice that contains the following information:

Client Portal Account. You may be required to provide information in order to gain access to an Coulson & Associates Account (an “Account”), which facilitates certain activities with Coulson & Associates. You agree that any information you provide will be true, current, and complete. We will treat all Personal Information you provide as set forth in the Privacy Policy. You are responsible for all activities that occur under your Account. You are responsible for keeping your password and any other verification information used to sign in to your Account confidential. Do not share your passwords with any other person. Do not access or attempt to access any Account that is not yours. If you believe that your Account has been compromised, you must immediately contact us by emailing [email protected].
Acceptable Use Policies.
Compliance with Laws. You must comply with all applicable laws, regulations, and rules when accessing and using the Site, including those governing online behavior.
Children’s Information. This Site is not intended for users under the age of thirteen (13). If you are under 13, you must stop using the Site immediately. Therapist Opportunities. If you apply for a therapist position, you must provide current, accurate, and complete information. Submission of an application does not guarantee consideration or employment. Opportunities may change without notice.
NO WARRANTY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, Coulson & Associates DISCLAIMS ALL WARRANTIES REGARDING THE SITE AND CONTENT, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SITE AND CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ACCURACY OR RELIABILITY. WE DO NOT GUARANTEE UNINTERRUPTED, ERROR-FREE ACCESS.
LIMITATION OF LIABILITY. Coulson & Associates AND ITS AFFILIATES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SITE OR CONTENT. YOUR SOLE REMEDY IS TO STOP USING THE SITE.
INDEMNIFICATION. YOU AGREE TO INDEMNIFY AND HOLD HARMLESS Coulson & Associates FROM ANY CLAIMS, LOSSES, OR DAMAGES RESULTING FROM YOUR VIOLATION OF THESE TERMS, APPLICABLE LAWS, OR MISUSE OF THE SITE OR CONTENT. Coulson & Associates RESERVES THE RIGHT TO ASSUME CONTROL OF ANY DEFENSE AT YOUR EXPENSE.
Third-Party Websites and Content. The Site may contain third-party links or content, which are not endorsements. Your use of third-party websites is at your own risk and subject to their terms and policies.
Linking to the Site. You may not link to the Site without prior written permission from Coulson & Associates. Additional terms may apply.
Comments and Feedback. Any feedback you submit regarding the Site or Content is non-confidential. We may use your feedback without attribution or compensation.
Governing Law. These Terms are governed by the laws of Colorado, U.S.A., without regard to conflict of laws principles. You agree to the exclusive jurisdiction of state and federal courts located in Denver, Colorado, for any disputes related to these Terms.
Violations and Termination. If you violate these Terms or applicable laws, your access to the Site may be restricted or terminated without notice.
Discontinuation. Coulson & Associates reserves the right to modify, suspend, or discontinue the Site or any Content at any time, without liability to you.
Cooperation with Law Enforcement. We will cooperate with law enforcement if you are suspected of violating laws. YOU WAIVE ANY CLAIMS AGAINST Coulson & Associates FOR DISCLOSURES MADE TO LAW ENFORCEMENT.
Assignment. We may assign our rights and delegate duties under these Terms without notice. You may not assign your rights or delegate your duties without our prior written consent.
Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Coulson & Associates regarding your use of the Site.
Waiver and Severability. Failure to enforce any provision of these Terms does not constitute a waiver. If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.
Electronic Communications. These Terms and related communications may be provided electronically. Notices may be sent to your provided contact information or posted on the Site. Retain copies of all communications for your records.
